Terms of Service

1. Service Credits & Expiration

The Service operates on a pre-paid credit basis ("Service Credits"). Credits are used to execute document transactions.

• 1.1 Free Credits: Credits granted free of charge upon registration are promotional. These credits expire 14 days after registration.
• 1.2 Paid Credits: Service Credits purchased remain valid for 12 months from the date of the most recent purchase.
  • Rolling Validity: Purchasing new credits extends the validity of your entire existing balance for 12 months from the new purchase date.
• 1.3 Expiration: Unused credits expire and are removed. Expired credits are non-refundable.

2. Document Retention & Storage Policy

We are not a permanent digital archive. You are responsible for backing up your documents.

• 2.1 Completed Documents: Retained for 12 months following the expiration of your last active Service Credit.
• 2.2 Draft Documents: Drafts unmodified for 90 days may be automatically deleted.
• 2.3 Storage Limits: We reserve the right to enforce storage limits on 'Free Tier' accounts (e.g., 1GB limit).

3. Usage Limits & Restrictions

• 3.1 File Size: Maximum upload size is 10 MB.
• 3.2 Supported Formats: PDF, DOC, DOCX only. Malware uploads result in immediate termination.
• 3.3 Automation: No bots, scrapers, or unauthorized API usage.

4. Third-Party Integrations

We accept no liability for data loss or failures caused by unauthorized tools (browser extensions, scrapers). Only official integrations are supported.

5. Platform Evolution & Future Features

• 5.1. New Capabilities: As part of the Tradear ecosystem, we will continuously roll out new modules and features (e.g., Invoicing, CRM, Tax Tools). Some of these features will be free improvements to your existing experience, while others may be optional, premium add-ons.
• 5.2. Optional & Separate Credits: You acknowledge that while your current credits cover e-signature services, future modules within the Tradear platform may require the purchase of module-specific credits or separate subscriptions. We will clearly indicate when a new feature requires a different type of credit or payment.
• 5.3. Notification: We will notify you of these new capabilities within the platform. You are under no obligation to use or pay for these additional features unless you choose to activate them.

6. Service Availability & Maintenance

• 6.1 Reasonable Efforts: We use reasonable efforts to ensure the Service is available 24/7. However, the Service may be interrupted for maintenance, upgrades, or emergency repairs.
• 6.2 Scheduled Maintenance: We reserve the right to suspend Service for scheduled maintenance, ideally during low-traffic hours.
• 6.3 No Guarantee: You acknowledge the Service is provided "AS IS" and "AS AVAILABLE". We do not guarantee any specific uptime percentage.

7. Limitation of Liability

• 7.1 Financial Cap: Our total liability for any claims is limited to the amount actually paid by you in the last 12 months. For Free Tier users, liability is limited to £50.
• 7.2 Exclusion of Damages: We are not liable for indirect damages, loss of profits, loss of data, or loss of business opportunity.
• 7.3 Mandatory Exceptions: Nothing limits liability for death/injury caused by negligence, fraud, or other liabilities that cannot be excluded by UK law.

8. Indemnification

You agree to indemnify, defend, and hold harmless Global Digital Enterprise Limited from any claims, damages, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights (e.g., copyright, privacy).

9. Termination

We may terminate or suspend your account immediately, without notice, for any breach of these Terms. Upon termination, you forfeit any remaining Service Credits without refund.

10. Governing Law

These Terms shall be governed by the laws of England and Wales. You submit to the exclusive jurisdiction of the courts located in London, United Kingdom.

11. No Legal Advice

The Service is a technological tool only. We do not provide legal advice. You are solely responsible for verifying the identity of signatories and the content of your documents.

12. Trademarks

Tradear™ and the Tradear Logo are trademarks of Global Digital Enterprise Limited. eSignKit is a distinct service operating within the Tradear ecosystem.
